Terms and Conditions

1. Agreement

These Terms and Conditions ("Terms") are a legally binding agreement between you and VinCask Pte Ltd ("VinCask," "we," "us," or "our"), a company incorporated in Singapore.

By accessing or using the VinCask website, related services, or Non-Fungible Tokens ("NFTs") associated with whisky redemption (together, the "Platform"), you agree to these Terms. If you do not agree, do not use the Platform.

Personal data is handled under our Privacy Policy.

2. Definitions

"NFT" means a non-fungible token implemented on the Ethereum blockchain as an ERC-721 token that represents a claim to redeem a specific Whisky Asset, subject to these Terms.
"Platform" means the VinCask website and associated services.
"Whisky Asset" means the physical whisky product associated with an NFT.
"Redemption Deadline" means the final date published by VinCask for redeeming an NFT during the 2029 redemption window.
"Grace Period" means the one-year period beginning on the day after the Redemption Deadline.

3. Eligibility

To use the Platform, you must:

Be at least 18 years old
Be legally able to purchase and possess alcohol under the laws of your place of residence and any place of delivery or collection
Be capable of forming a legally binding contract
Not be a designated individual or entity under Singapore's targeted financial sanctions, including United Nations Security Council designations given effect under Singapore law and designations under the Terrorism (Suppression of Financing) Act 2002
Not use the Platform in a way that would breach Singapore sanctions laws or any other applicable sanctions or trade controls

Designated individuals and entities are listed by the Monetary Authority of Singapore and related Singapore authorities. See MAS lists of designated individuals and entities.

We may refuse, suspend, or terminate access if we reasonably believe you do not meet these requirements.

4. Platform access and acceptable use

You agree not to:

Use the Platform for any unlawful purpose, including fraud, money laundering, or sanctions evasion
Interfere with or disrupt the Platform, smart contracts, or related networks
Attempt unauthorised access to systems, wallets, data, or other users' accounts
Misrepresent your identity, age, residence, or wallet ownership
Scrape, reverse engineer, or exploit the Platform except as allowed by law

You are responsible for your wallet, private keys, and devices. We cannot recover lost keys, seed phrases, or assets sent to the wrong address.

5. NFT purchase and ownership

5.1. What you buy

Each NFT represents a right to redeem a specific Whisky Asset, subject to these Terms. Purchase does not transfer ownership of the physical Whisky Asset until successful redemption.

5.2. Purchase finality

NFT purchases are final and non-refundable, except where mandatory Singapore law requires otherwise.

5.3. Pricing and payment

Prices, currencies, and accepted payment methods are shown at checkout and may change before you complete a purchase. You are responsible for network (gas) fees, payment-processor fees, and any taxes, duties, or charges applicable to your purchase or redemption.

Card and similar payments may be processed by third parties such as Crossmint. Their terms and privacy policies apply to their services.

5.4. Limitations

NFT ownership does not confer:

Ownership of the physical Whisky Asset before successful redemption
Any rights to VinCask's intellectual property
Any equity, partnership, or other ownership interest in VinCask
Any guarantee of secondary-market value or liquidity for the NFT

5.5. Transfers and secondary markets

If you transfer an NFT, the redemption right moves with the NFT to the new holder, subject to these Terms. We do not operate or control third-party marketplaces and are not responsible for their listings, fees, custody, or disputes.

The holder of the NFT at the time of redemption must satisfy eligibility, verification, and documentation requirements.

6. Whisky redemption

6.1. Redemption window

Redemption opens in 2029. Exact dates, procedures, and the Redemption Deadline will be published on the Platform before the window opens.

6.2. Grace Period

If you do not redeem by the Redemption Deadline, you may still redeem during the Grace Period. After the Grace Period ends, the redemption right is forfeited. No refund, replacement, or compensation is due for a forfeited claim.

6.3. Redemption conditions

Redemption is subject to:

Verification of legal drinking age
Compliance with applicable laws and regulations at purchase, storage, delivery, and collection
Payment of applicable taxes, duties, fees, and charges
Completion of required documentation
Adherence to the published redemption procedures and windows
Proof of NFT ownership through the wallet and process we specify

6.4. Delivery and collection

Redemption may be offered by courier delivery, collection, or other methods we publish. Delivery availability, costs, and timelines depend on destination and carrier constraints. You are responsible for providing accurate contact and address details and for complying with import or alcohol rules in the destination jurisdiction.

7. Storage and custody

Before redemption, Whisky Assets are stored in licensed facilities in Singapore. VinCask maintains insurance it considers appropriate for stored Whisky Assets. Storage and insurance do not eliminate all risk of loss, damage, or deterioration.

8. Intellectual property

The Platform, branding, content, and related intellectual property remain owned by VinCask or its licensors. You receive a limited, non-exclusive, non-transferable licence to access the Platform for personal use in line with these Terms.

Owning an NFT does not grant a licence to use VinCask trademarks, trade dress, or other intellectual property beyond what is reasonably needed to display the NFT itself.

9. Risks and disclaimers

You acknowledge the following risks:

Cryptocurrency and NFT price volatility
Regulatory changes affecting NFTs, digital assets, or whisky trading and distribution
Technology risks, including smart contract vulnerabilities and Ethereum network failures
Storage and preservation risks for physical whisky
Changes in redemption procedures or requirements
Gas fees, network congestion, and delayed or failed blockchain transactions
Loss of wallet access, phishing, or third-party custody failures

The Platform and NFTs are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by Singapore law, VinCask is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or anticipated savings, arising from or related to the Platform, NFTs, or Whisky Assets.

To the fullest extent permitted by Singapore law, VinCask's total aggregate liability arising from or related to these Terms, the Platform, NFTs, or Whisky Assets is limited to the amount you paid to VinCask for the NFT giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for fraud or any non-excludable rights under the Consumer Protection (Fair Trading) Act 2003.

11. Indemnity

You agree to indemnify and hold harmless VinCask and its directors, officers, employees, and agents from claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of applicable law, except to the extent caused by VinCask's fraud or wilful misconduct.

12. Suspension and termination

We may suspend or terminate your access to the Platform if you breach these Terms, create legal or security risk, or if required by law. We may also modify or discontinue Platform features with reasonable notice where practicable.

Provisions that by their nature should survive termination, including ownership limitations, forfeiture, disclaimers, liability limits, indemnity, and governing law, continue to apply.

13. Changes to Terms

We may update these Terms from time to time. The "Last Updated" date shows when changes take effect. Continued use of the Platform after the updated Terms are posted means you accept the changes. For material changes affecting existing NFT holders, we will provide reasonable notice on the Platform or by other contact details we hold.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of Singapore.

The courts of Singapore have exclusive jurisdiction over disputes arising from or related to these Terms, subject to any non-excludable rights you may have under applicable law.

15. General

Entire agreement. These Terms, together with the Privacy Policy and any redemption instructions we publish, are the entire agreement between you and VinCask for the Platform and NFTs.
Severability. If a provision is invalid or unenforceable, the remaining provisions continue in force.
No waiver. Failure to enforce a provision is not a waiver of that provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a reorganisation, merger, or sale of assets.
Third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 2001 to enforce any provision, except as expressly stated.
